Terms of Service

Last updated 10 October 2026

These terms are an agreement between you and Soleil OS ("we", "us") about your use of Soleil OS, including the website and the app at app.soleilos.co. By creating an account or using the service you agree to them and to our Privacy Policy. If you do not agree, do not use Soleil OS.

1. The service

Soleil OS is online software that helps sole traders create invoices and quotes, track expenses, clients, projects and tasks, and view GST figures. We may add, change or remove features. If we make a change that significantly reduces what your plan includes, we will give you reasonable notice.

2. Who can use it

You must be at least 18 and be using Soleil OS for a business. If you sign up for a business, you confirm you have authority to bind it. Give accurate information and keep it up to date.

3. Your account

You are responsible for keeping your login details secure and for everything done through your account. Tell us promptly at info@soleilos.co if you think someone has accessed it without permission. One account is for one business; do not share logins.

4. Not tax, legal or accounting advice

Soleil OS is a record keeping and calculation tool. It does not give tax, legal, financial or accounting advice, and it does not lodge anything with the Australian Taxation Office or any other authority. GST, BAS, invoice and quote figures are calculated from what you enter, so they are only as accurate as your information. You are responsible for checking them and for meeting your own tax, GST, record keeping and legal obligations. Speak to a registered tax agent or accountant if you are unsure.

5. Plans, trials and payment

Soleil OS has not launched yet. The terms below apply once accounts open. Joining the waiting list costs nothing and needs no card.

  • Plans are billed monthly in Australian dollars through Stripe, in advance, and renew automatically until cancelled.
  • New accounts get a 14 day free trial. A payment card is required. If you cancel before the trial ends you are not charged. If you do not cancel, your card is charged for your chosen plan when the trial ends.
  • You can change or cancel your plan at any time from the Billing page. Cancelling stops future renewals, and you keep access until the end of the period you have paid for.
  • Fees are not refundable except where the law requires, or where we say otherwise in writing.
  • If a payment fails we may retry it and may suspend access until it is paid.
  • We may change our prices. We will give you at least 30 days notice before the change applies to you, and you can cancel before it does.

6. Your data

  • You own it. You own the information you put into Soleil OS. We do not claim any ownership of it.
  • Our permission to handle it. You give us permission to store, process, display and transmit it as needed to run the service for you, including sending emails you ask us to send.
  • Your responsibility. You are responsible for what you enter. You promise you have the right to enter it, including personal information about your clients, and that you have told them how you use it and handle it in line with the privacy laws that apply to your business.
  • Our role. For your clients' personal information, we act as your service provider, as described in our Privacy Policy.
  • Export. You can export your data. Ask us if you need help.

7. How we protect your data

We take the security of your data seriously and use reasonable technical and organisational measures to protect it. These include separating each account's records at the database level, encrypting connections in transit, limiting who can access the production system, and using reputable infrastructure providers. We will tell you about eligible data breaches affecting you as the law requires. No system is completely secure, and we cannot promise that data will never be lost, accessed or disclosed without authority. We keep regular backups, but you should keep your own copies of any records you are legally required to keep, such as tax records.

8. Payments from your clients

  • You can show bank transfer and PayID details on your invoices. You are responsible for entering them correctly. We display them as you entered them and do not check them.
  • Card payments are optional. If you turn them on, you connect your own Stripe account and agree to Stripe's terms. Card payments from your clients are paid into your Stripe account, not to us. We do not hold your clients' money and we do not take a share of it.
  • Stripe sets and charges its own fees, which are taken from each payment. They are separate from your Soleil OS plan and Stripe may change them.
  • Your Stripe account, including identity checks, payouts and any holds, is between you and Stripe.
  • We are not a party to the transaction between you and your client, and we are not responsible for disputes, chargebacks, refunds or late or missed payments between you and your client.

9. Quotes and electronic acceptance

Where Soleil OS lets your client accept a quote online, it records the details of the acceptance. We provide that as a convenience. You are responsible for the terms of your quotes and contracts and for deciding whether an online acceptance is enough for your purposes. We are not a party to any agreement between you and your client.

10. Acceptable use

You must not: break the law or others' rights with Soleil OS; enter content that is unlawful, defamatory or infringing; send spam; try to access other accounts or our systems without permission; probe, overload or disrupt the service; reverse engineer it except as the law allows; resell it without our written consent; or use it to store card numbers or other data we have told you not to store.

11. Our intellectual property

We own Soleil OS, including its software, design, logo and branding. We give you a limited, non exclusive, non transferable right to use it while you have an account, under these terms. If you give us feedback or ideas, you let us use them without obligation to you.

12. Availability and support

We work to keep Soleil OS running and to fix problems quickly, but it is provided as a service that may occasionally be unavailable for maintenance, updates or reasons outside our control. We offer support by email at info@soleilos.co and aim to reply within one business day.

13. Suspension and ending

You can stop using Soleil OS and cancel at any time. We may suspend or close an account if you breach these terms, fail to pay, or use the service in a way that puts others or the service at risk. Where reasonable we will tell you first. If your account ends, you can ask for an export of your data within 30 days, after which we may delete it, except for records we must keep by law. Terms that by their nature should continue, such as those on liability, will continue.

14. Disclaimers

To the extent the law allows, Soleil OS is provided "as is" and we give no warranties that it will be uninterrupted, error free, or suitable for your particular purpose. Our consumer guarantees under the Australian Consumer Law, and any other rights that cannot be excluded, are not affected by these terms.

15. Limits on our liability

To the extent the law allows: we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, opportunity or data; and our total liability to you for all claims arising from the service in any 12 month period is limited to the fees you paid us in that period. Where the law does not allow us to exclude a liability, our liability is limited, to the extent permitted, to resupplying the service or paying the cost of having it resupplied.

16. Your promise to cover us

You will cover our reasonable losses and costs arising from a third party claim that comes from the content you enter, your breach of these terms, or your breach of the law, including claims by your own clients. This does not apply to the extent the claim is caused by us.

17. Events outside our control

We are not responsible for failure or delay caused by events outside our reasonable control, including outages of internet, hosting, payment or email providers, natural disasters, or government action.

18. Changes to these terms

We may update these terms. For material changes we will give at least 30 days notice by email or in the app. If you keep using Soleil OS after the change takes effect, you accept it. If you do not agree, you can cancel before it takes effect.

19. General

These terms and the Privacy Policy are the whole agreement between us about the service. If a part is unenforceable, the rest still applies. You may not transfer your rights without our consent. We may transfer ours as part of a sale of the business. Notices to you may be sent to your account email, and notices to us to info@soleilos.co. These terms are governed by the laws of New South Wales, Australia, and you submit to the non exclusive jurisdiction of its courts.
